UNITED METAL PRODUCTS TERMS AND CONDITIONS OF SALE

GENERAL

 1. These terms and conditions of sale shall be controlling and take precedence over any conflicting terms or conditions which may be contained in any purchase order or other instrument issued by either the buyer or to the date of this acknowledgement.

2. Reserves the right to correct clerical and stenographic errors at any time and without liability to the seller, to cancel this contract and sale where the performance hereof is rendered impossible or materially more burdensome to seller by reason of intervening legislation or governmental ruling, strikes or other interruption of normal production, inability to obtain parts or supplies necessary to the fulfillment of the contract through seller's normal procedures, buyer is or becomes financially insecure in the opinion or the occurrence of any condition beyond control of .

5. Except as stated, all prices are net and without further discount, rebate or reduction and all prices unless otherwise stipulated, are based on furnishing material, parts or service as shown on acknowledgements.

Deliveries are subject to extension in case of war, riot, fire, flood, strikes, acts of public enemy or any unavoidable accident to our machinery or works or any interference by reason of which we are prevented from producing or receiving these goods and in such event the deliveries this suspended are to be made at the same rate after such disabilities have been removed.

WARRANTY

9. Should any product furnished by United Metal Products prove defective or not as ordered, we will if notified in writing, within 10 business days after its receipt, replace same, but we cannot allow any claim for expenses or damages incurred in using our part in assemblies. In case of any shipment of parts prove unsuitable, the buyer agrees to immediately discontinue its use and at once, in writing, advise of the facts, sending samples, etc. No return of goods will be accepted unless return has been previously authorized by us.

10. Unless otherwise specifically agreed in writing by both parties, it is understood that such parts will not undergo and 100% inspection.
